Restricted Securities

For affiliates with restricted stock, this form of recourse financing allows them to access capital in a private transaction without having to sell their securities to the market. As with Free Trading Securities,there are no credit checks, credit reporting or background checks associated with the transaction.

With this form of pledge, they get liquidity from their asset now, retain contractual ownership and voting rights, enjoy the tax benefits that come from not having to sell their securities and profit from appreciation of their assets should the stock price rise in value as the loan matures after principle and interest are paid.

• LTV's (Loan to Value) from 50% - 80%

• Terms to 3 years

• Term renewals for up to one (1) additional year

• Low Fixed Interest Rates

• Interest Payments due quarterly

• Principle due at the term of the loan

• Recourse

• No Margin call

• Funding within three (3) business days

This loan program is open to stocks listed and traded on U.S. Stock Exchanges only (NYSE, NASDAQ,AMEX & OTC) and owned by affiliates who are unable to sell shares under Rule 144.

An Affiliate Shareholder is an:

• Executive or Officer of the company

• Board Member

• Shareholder who owns 5% to 10% or more of the outstanding shares of the company

Unlike Non-Recourse Stock Loans offered by other lender, this program addresses a number of concerns related to compliance with regulatory restrictions that affiliate shareholders face.

We have a strict set of criteria that all Affiliate Stock Loan requests must meet for consideration which are the following:

- Shares must be held outside of a retirement account (401k, IRA or Pension)

- Shares must be fully vested and owned by the borrower

- Shares must be owned and paid for by the borrower for 12 months or longer

- Shares must be trading at $0.30/share or higher

- Shares must be trading daily with a minimum volume equal to $50,000/day (liquidity is key)
